These terms are the agreement between you and AOS Construction Software LLC for using
schedule.construction. Please read them before you create an account.
Effective . Our
Privacy Policy explains how we handle personal information.
1. Agreement
schedule.construction (the “Service”) is operated by AOS Construction Software LLC, a
Wyoming limited liability company (“AOS,” “we,” “us,” or “our”). The Service includes
this website, the web application at app.schedule.construction, the sandbox, share
links, our API, the MCP adapter, and our iOS app when it is available.
If you get the iOS app from Apple’s App Store, Apple’s terms for apps also apply.
Apple is not a party to these Terms and is not responsible for the Service.
By creating an account, accepting an invitation, or using the Service, you agree to
these Terms. If you use the Service for a company or other organization, you agree on
its behalf and confirm you have authority to do so; “you” then means both you and that
organization. If you do not agree, do not use the Service.
2. Accounts
The Service is for business use. You must be at least 18 years old to use it.
Give us accurate account information and keep your email address current. Some
actions, such as being added to an organization directly rather than by emailed
invitation, require a verified address.
Keep your password, single sign-on credentials, and API tokens secret. You are
responsible for activity under your account and your tokens.
Tell us at [email protected] right away if
you believe your account or a token has been used without permission.
3. Organizations, roles, and seats
Work in the Service belongs to an organization. Owners of an organization control its
members, roles, invitations, branding, and billing, and are responsible for the people
they invite. Owners and editors can create and revoke share links and API tokens.
Paid seats are counted by role: owners and editors use project manager seats, trade
updaters use superintendent seats, and viewers are free. Pending invitations use a seat
until they are accepted or expire, and you cannot reduce seats below the members and
pending invitations that use them.
When someone leaves your organization, remove their membership. We are not responsible
for access you grant or fail to revoke.
4. Trials and billing
New organizations start with a 14-day free trial. No payment card is needed to start
it. When the trial ends without a subscription, the organization becomes read-only.
Read-only means you can view and export, but not make changes.
Subscriptions are billed monthly in advance, in US dollars: a company base fee plus a
fee for each paid seat, at the prices on our pricing page when
you subscribe. Prices exclude taxes; applicable sales or similar taxes are calculated
at checkout and added to your invoice.
Payments are processed by Stripe. You authorize us, through Stripe, to charge your
payment method each month until you cancel. Subscriptions renew automatically.
Seat changes during a billing period are prorated for the rest of that period: added
seats are charged and removed seats are credited, on your next invoice.
If a renewal payment fails, your organization generally keeps full access for 7 days.
After that it becomes read-only until payment succeeds, and we may cancel the
subscription about 15 days after the failed charge.
We may change prices with at least 30 days’ notice by email to organization owners. A
change takes effect at your next billing period after the notice period ends.
5. Cancellation and refunds
An owner can cancel at any time from the billing portal in the app. Cancellation takes
effect at the end of the current monthly billing period, and you keep paid access until
then. We do not give refunds for partial months or unused time, except
for the seat credits described above or where the law requires it.
After cancellation or an expired trial, your organization stays available read-only so
you can view and export your schedules. We keep your data until you ask us to delete it.
If we ever decide to delete inactive organizations, we will give owners at least 30
days’ notice by email first.
6. Your content
“Your content” means what you and your members put into the Service: projects,
schedules, activities, costs, budgets, vendor names, comments, notes, logos, imported
files, distribution lists, and similar material. You own your content.
You give us a limited, worldwide, non-exclusive license to host, copy, process,
transmit, and display your content only as needed to run the Service for you, to
prevent abuse, and to comply with the law. We do not sell your content, do not use it
to advertise to you, and do not use it to train AI models.
A small number of AOS staff can access organization data when needed to provide
support you ask for, operate billing, investigate abuse or security issues, or comply
with the law.
You are responsible for your content and confirm you have the rights to it. If you add
other people to a distribution list, you are responsible for having a basis to send them
the reports the Service emails on your behalf, and for removing them when they ask.
While your organization is active or read-only, you can export each project in the
formats the app offers. To delete your account or organization data, email
[email protected] from an owner’s address.
7. Share links, API, and integrations
Share links let anyone who has the link view a project without
signing in, and download its printable PDFs. That includes its activities, dates,
vendors, notes, activity codes, baselines, calendars, client and site details
(including the site location), budget, and costs. Share links only with people you
trust to see that, and revoke links you no longer need. Links expire after the period
you choose, up to 365 days.
The sandbox is a read-only demo organization with sample data. When
you request access we record your email address and add you as a viewer, and you then
sign in or create an account to use it.
Company logos you upload are served at public addresses so they can
appear on share views and exports.
API tokens act on behalf of the person who created them, limited to
the organization and permissions chosen for the token. Tokens do not expire, so
revoke any you no longer use. The MCP adapter runs on your own
computer with your token; you are responsible for where you install it and which
tools, including any that change your schedules, you allow it to use.
When you connect the Service to another product, for example by entering a project
management bridge address, we send the data that integration needs. Third-party
products are governed by their own terms.
8. AI-assisted drafting
Some features, such as drafting an owner delay notice, can use an AI model provided by
Anthropic to write or polish text from your project information. AI output can be wrong
or incomplete. Review and edit it before you rely on it or send it to anyone. You are
responsible for anything you send.
9. Acceptable use
You agree not to:
break the law, or infringe or misappropriate anyone’s rights;
upload malware or content you have no right to share;
access accounts, organizations, or data that are not yours, or test, probe, or bypass
our security, rate limits, or access controls (contact
[email protected] to report a vulnerability);
overload or disrupt the Service, or use bots or scripts other than through our API
within its limits;
use the Service to send spam or unsolicited messages;
resell or sublicense the Service, or copy it to build a competing product; or
share a seat between several people.
10. Schedule outputs are tools, not advice
The Service calculates critical paths, float, dates, delay and claim analyses, weather
impacts, resource loading, and similar results from the data you provide. These results
depend on that data and on modeling assumptions, and they may contain errors. They are
not engineering, legal, or contractual advice.
You are responsible for your schedules and for decisions you make with them, including
meeting contract notice requirements, deadlines, and claim procedures. Check important
results before relying on them.
11. Our service and feedback
We own the Service, its software, and its design. Apart from the right to use the
Service under these Terms, we grant you no rights in it. If you send us suggestions, we
may use them without obligation to you.
We work to keep the Service available and may improve, change, or remove features. We
will give organization owners reasonable notice before removing a major paid feature.
Features we label as beta or preview are provided as-is and may change or end.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or end access if you
materially breach these Terms, do not pay, or use the Service in a way that risks harm
to us, other customers, or the public. Where reasonable, we will give notice first and
a chance to fix the problem. If we end the Service for you without cause, we will give
30 days’ notice so you can export your data.
Sections 5 (data after cancellation), 6, 10, 11, 13 through 16, and 18 continue after
these Terms end, as do any amounts you owe.
13. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS
AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, AOS DISCLAIMS ALL WARRANTIES, EXPRESS
OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED,
ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AOS WILL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE,
DATA, OR GOODWILL, OR FOR PROJECT DELAYS, LIQUIDATED DAMAGES, OR LOST CLAIMS, EVEN IF
ADVISED OF THEIR POSSIBILITY.
AOS’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED
TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE
EVENT GIVING RISE TO THE CLAIM, OR US $100.
15. Indemnity
You will defend and indemnify AOS against third-party claims, and related losses and
reasonable costs, arising from your content, your use of the Service in breach of these
Terms, or your violation of law.
16. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to
conflict-of-law rules. Any dispute relating to the Service or these Terms will be
brought only in the state or federal courts located in Wyoming, and both parties consent
to those courts’ jurisdiction. Before filing a claim, please email
[email protected] so we can try to resolve it
informally within 30 days.
17. Changes to these Terms
We may update these Terms. We will post the new version here with its effective date.
For material changes, we will notify organization owners by email or in the app at
least 30 days before the changes take effect. Continuing to use the Service after that
date means you accept the updated Terms.
18. General
These Terms and the Privacy Policy are the entire agreement between us about the
Service and replace prior agreements on that subject. A signed order form or agreement
with AOS controls where it conflicts with these Terms.
If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a
term is not a waiver of it.
You may not assign these Terms without our consent. We may assign them in a merger,
acquisition, or sale of the business, with notice to you.
Neither party is liable for delays caused by events beyond its reasonable control.
We send notices to the email address on your account. Send legal notices to us at
[email protected] or by mail to the
address in section 19.
